Terms of Service

By accessing or using the Dataix platform at dataixai.com, you agree to be bound by these Terms of Service. Dataix is operated by Gul and Metzen Solutions LLC ("Company," "we," "us," or "our"), a New Jersey limited liability company. If you do not agree to these terms, you may not use the platform. If you are using the platform on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Dataix is a software-as-a-service (SaaS) platform for municipal permit management, violation tracking, inspection scheduling, contractor management, and construction industry compliance tools. The platform is designed to assist municipal officials, contractors, architects, and real estate developers in the management of construction permitting and related government operations. It is not a substitute for legal advice or professional judgment.

You are responsible for maintaining the security of your account credentials. You must not share account access with unauthorized individuals. You must provide accurate, complete, and current information when creating your account and must update this information when it changes. One set of credentials per individual user. Organizations may create multiple accounts for their team members using the team management features. You are responsible for all activity that occurs under your account.

Permitted uses include: lawful municipal operations, construction industry compliance, permit management, property intelligence research, and any other use consistent with the platform's intended purpose. Prohibited uses include: • Attempting to breach, circumvent, or test the security of the platform • Accessing data belonging to other organizations • Reverse engineering, decompiling, or attempting to extract source code • Using AI features to extract bulk data or train competing AI systems • Uploading malicious code or attempting to disrupt platform operations • Any use that violates applicable federal, state, or local law • Impersonating another user, organization, or government entity

Municipal accounts are subject to the following additional terms: Minimum term: Municipal subscriptions require a minimum 12-month commitment from the activation date. Cancellation: Municipalities must provide 90 days' written notice to cancel annual subscriptions. Notice must be sent to municipalities@dataixai.com. Data export: Upon cancellation, municipalities may request export of all their data within 30 days of the termination date. Billing: Municipal accounts are billed by invoice through Gul and Metzen Solutions LLC. Payment terms are net-30 from invoice date. Data ownership: All municipal operational data uploaded to or generated within Dataix remains the property of the municipality.

Contractor, architect, and developer accounts are subject to the following terms: Monthly subscriptions: Billed on the 1st of each month. Cancellation requires 30 days' written notice. Annual subscriptions: Billed upfront with a 15% discount applied. No refunds after 30 days from the billing date. Free trial: A 3-day free trial is available for all private sector plans. No credit card is required to start a trial. Billing: All private sector accounts are processed through Stripe. Invoices are available in the billing section of your dashboard.

Dataix uses artificial intelligence to assist with permit review, compliance checking, and operational analysis. AI outputs are advisory only. AI recommendations assist but do not replace the professional judgment of qualified municipal officials, licensed contractors, architects, or engineers. Municipalities retain full legal responsibility for all permit decisions, approvals, denials, and enforcement actions made using the platform. AI outputs should be reviewed by qualified professionals before being relied upon for consequential decisions. Dataix is not liable for any decisions made by users based on AI recommendations or outputs.

Platform ownership: The Dataix platform, including its codebase, AI models, algorithms, aggregated insights, and documentation, is owned by Gul and Metzen Solutions LLC. All rights reserved. Customer data: All data you upload to Dataix remains your property. You retain all rights to your permits, violations, inspections, contracts, and other operational records. License grant: By using Dataix, you grant Gul and Metzen Solutions LLC a limited, non-exclusive license to process your data solely for the purpose of providing the contracted services. Feedback: If you provide feedback, suggestions, or feature requests, we may use this feedback to improve the platform without any obligation to you.

To the maximum extent permitted by applicable law: Dataix's liability for any claim arising from these terms or use of the platform is limited to the total subscription fees you paid in the 12 months prior to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages. We are not liable for decisions made by government officials, contractors, architects, or developers using the platform, including permit approvals, denials, or enforcement actions. Some jurisdictions do not allow limitations on consequential damages, so the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Gul and Metzen Solutions LLC and its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: • Your use of the Dataix platform • Your violation of these Terms of Service • Your violation of any applicable law or regulation • Any content you upload to the platform that infringes third-party rights

We may suspend or terminate your access to Dataix at any time, with or without cause and with or without notice, if we believe you have violated these Terms of Service. Upon termination, your right to use the platform ceases immediately. Provisions of these terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms of Service are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms or use of the platform shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in Atlantic County, New Jersey. Class action waiver: You waive your right to participate in any class action lawsuit or class-wide arbitration involving Dataix. Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms of Service periodically. We will notify you of material changes by email and by posting a notice on the platform at least 30 days before changes take effect. Continued use of Dataix after updated terms take effect constitutes your acceptance of the new terms.
